Welcome to Starlight Studios! By accessing or using our services, including video production, video editing, animation, and post-production, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and Starlight Studios, located at 123 Stellar Avenue, Suite 200, Brighton, MA 02135.

2. Service Description

Starlight Studios provides professional video production services tailored to meet your specific needs. Our services include, but are not limited to:

• Video Production: From concept to completion, we handle all aspects of video production, including scripting, storyboarding, filming, and editing.
• Corporate Videos: We create impactful corporate videos that showcase your brand's message, values, and products.
• Video Editing: Our skilled editors use advanced software to refine your video's visual and audio elements.
• Motion Graphics & Animation: We bring your ideas to life with captivating motion graphics and animation.
• Post-Production: Comprehensive post-production services, including color grading, sound design, and visual effects.
• Live Streaming: Seamless and reliable live video broadcasts for events, conferences, and product launches.

3. Copyright and Intellectual Property

Starlight Studios retains all rights, title, and interest in and to all original video content, footage, graphics, animations, and other intellectual property created by us, unless otherwise agreed upon in writing. Upon full payment for our services, you will be granted a license to use the final video product for the purposes outlined in your agreement with us. This license does not transfer ownership of the original materials or grant you the right to resell, distribute, or create derivative works without our express written permission. Any unauthorized use of our intellectual property will be subject to legal action.

4. Client Responsibilities

As a client of Starlight Studios, you are responsible for providing accurate and complete information necessary for the successful completion of your video project. This includes:

• Providing clear project specifications, objectives, and timelines.
• Ensuring you have the necessary rights and permissions for any content you provide to us, including music, images, and trademarks.
• Reviewing and approving project milestones and deliverables in a timely manner.
• Providing feedback and revisions as needed to ensure the final product meets your expectations.
• Complying with all applicable laws and regulations related to the content of your video.

5. Payment Terms

Payment for Starlight Studios' services is due in accordance with the payment schedule outlined in your agreement with us. A deposit may be required before we begin work on your project. Late payments may be subject to interest charges. Starlight Studios reserves the right to suspend or terminate services if payments are not made in a timely manner.

6. Liability

Starlight Studios is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, even if we have been advised of the possibility of such damages. Our liability is limited to the amount you paid for our services. We are not responsible for any delays or failures to perform our services due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, or government regulations. We maintain professional liability insurance to cover potential claims.

7. Confidentiality

Starlight Studios agrees to keep confidential any non-public information you provide to us in connection with your video project. We will not disclose your confidential information to any third party without your express written consent, except as required by law. You agree to keep confidential any non-public information we provide to you in connection with our services.

8. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Boston, Massachusetts. The arbitrator's decision shall be final and binding on both parties. You agree to waive your right to a jury trial in any legal proceeding arising out of or relating to these Terms. Prior to initiating arbitration, we encourage you to contact us directly at legal@starlightstudios.com to attempt to resolve any issues amicably.

9. Termination

Starlight Studios reserves the right to terminate your access to our services at any time, with or without cause. You may terminate your agreement with us by providing written notice. Upon termination, you will be responsible for paying any outstanding fees for services rendered up to the date of termination. We will provide you with all completed deliverables up to the point of termination, subject to any outstanding payment obligations.

10. Modifications to Terms

Starlight Studios reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on our website. Your continued use of our services after the posting of the updated Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for any updates.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Boston, Massachusetts.
